Terms of Service

These Terms of Service (the "Terms") govern your use of Refind. Please read them carefully — they include important information about your legal rights, including a binding arbitration agreement and class-action waiver. By creating an account or otherwise using Refind, you agree to these Terms.
1. Acceptance of these terms
These Terms form a binding agreement between you and Refind ("we", "us", "our"). If you do not agree to these Terms, do not create an account and do not use the service. If you are using Refind on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Eligibility
You must be at least 18 years old to use Refind. By creating an account, you represent that you are 18 or older, that the information you provide is accurate, and that you are not prohibited from using the service under U.S. law or the laws of your jurisdiction.
3. Your account
- You sign in to Refind with a phone number you control. You are responsible for keeping access to that number secure.
- You agree not to share your account, impersonate another person, or create an account using a phone number you do not own.
- You are responsible for all activity that occurs under your account.
- Notify us at [email protected] immediately if you suspect unauthorized use of your account.
4. What Refind is
Refind is a peer-to-peer referral network. Customers discover workers (tradespeople, service professionals) through friends in their circle who have already used and saved that worker. When a customer hires a worker through a Refind intro, Refind facilitates the connection and records the referral so the friend who vouched is credited with a share of the worker's referral fee.
Refind is a platform, not a service provider. We do not perform the work that workers are hired to do. We do not employ, contract with, supervise, license, train, or vet any worker listed on the platform. Workers are independent third parties and are solely responsible for the services they provide and the quality of those services.
5. User content
"User Content" means anything you submit to Refind — your display name, photo, the workers you save, the notes you write on a job request, the recommendations you make, and any other content you create or upload. You retain ownership of your User Content.
You grant Refind a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), display, and distribute your User Content solely as needed to operate, provide, and improve the service. You represent that you have all rights necessary to grant this license and that your User Content does not violate the law or anyone's rights.
6. Acceptable use
You agree not to:
- Use Refind for any unlawful purpose or in violation of these Terms.
- Upload contact information without a reasonable basis to believe the contact wouldn't object to being referenced in a private referral network.
- Harass, threaten, defame, or impersonate any person.
- Send unsolicited commercial messages through the platform.
- Attempt to access, scrape, reverse engineer, or interfere with the service or its infrastructure.
- Circumvent Refind's payment system to avoid referral fees on intros that originated through Refind.
- Use Refind to discriminate against any person on the basis of race, color, religion, national origin, sex, gender identity, sexual orientation, disability, age, or any other basis protected by law.
- Misrepresent your identity, qualifications, licenses, or insurance.
We reserve the right to investigate suspected violations and to suspend or terminate accounts that violate these Terms.
7. Workers, payouts, and fees
If you sign up as a worker, additional terms apply:
- You represent that you hold any licenses, permits, and insurance required to perform the work you offer in your jurisdiction.
- You set your own prices and scope. You are an independent contractor, not an employee, agent, or franchisee of Refind.
- Payouts are processed through Stripe Connect Express. To receive payouts you must accept Stripe's Connected Account Agreement and complete identity verification. Stripe is the merchant of record for the payment flow.
- Refind charges a referral fee on intros that result in paid work. The current fee structure is disclosed in the app at the time of the transaction. We may update the fee with reasonable notice.
- You are solely responsible for reporting and paying any taxes on income you receive through Refind. Refind and Stripe may issue tax forms (such as 1099s) as required by law.
- Disputes about quality of work or refunds are between the worker and the customer. Refind may, at its discretion, assist in resolving disputes but is not obligated to do so and is not a party to the underlying contract for services.
8. Payments
Any card payments processed through Refind are handled by Stripe under Stripe's terms and privacy policy. By providing payment information, you authorize the charges described at the point of transaction. You agree that Refind may store a token representing your saved payment method for future on-platform charges you initiate.
9. Communications
By creating an account you consent to receive transactional communications from Refind — including SMS one-time codes, job- related notifications, payout receipts, and important account notices — at the phone number and email address associated with your account. Standard message and data rates may apply. You can opt out of non-transactional product updates from Settings.
10. Third-party services
Refind integrates with third-party services including Twilio (SMS), Stripe (payments and identity verification), Apple Push Notification service, and Google Firebase Cloud Messaging. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the acts or omissions of these third parties.
11. Intellectual property
The Refind name, logo, wordmark, app icons, and the design, interface, code, and content of the service are owned by Refind or its licensors and are protected by U.S. and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the app for personal, non-commercial purposes (or, for workers, for commercial purposes consistent with these Terms). Any other use is prohibited.
12. Feedback
If you send us feedback or suggestions about the service, you grant us the right to use that feedback without obligation to you.
13. Disclaimers
REFIND IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY WORKER LISTED ON THE PLATFORM WILL PROVIDE SATISFACTORY SERVICE.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFIND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF — OR INABILITY TO USE — THE SERVICE.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO REFIND IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
15. Indemnification
You agree to defend, indemnify, and hold harmless Refind from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the service, (b) your violation of these Terms, (c) your violation of any law or the rights of a third party, or (d) any User Content you submit.
16. Termination
You may stop using Refind and delete your account at any time by emailing [email protected]. We may suspend or terminate your account at any time if we believe you have violated these Terms or if we discontinue the service. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution) will survive.
17. Dispute resolution and arbitration
Please read this section carefully — it affects your legal rights.
Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by emailing [email protected] with a description of the dispute and the relief you seek. We'll try to resolve it within 60 days.
Binding arbitration. If informal resolution does not succeed, you and Refind agree that any dispute arising out of or relating to these Terms or the service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will be conducted in the English language. Each party will bear its own costs except as the arbitrator may award.
Class-action waiver. You and Refind agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative action.
Opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out" and your account phone number in the body.
Small-claims and injunctive relief. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement of intellectual-property rights.
18. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to the arbitration agreement above, any court proceeding will take place in the state or federal courts located in Delaware, and you consent to jurisdiction and venue there.
19. Apple App Store additional terms
If you downloaded Refind from the Apple App Store, you acknowledge that these Terms are between you and Refind, not Apple, and that Apple is not responsible for the app or its content. Apple is a third-party beneficiary of these Terms and may enforce them against you. The license granted to you is limited to use on Apple-branded products that you own or control, as permitted by the Apple App Store Terms of Service.
20. Changes to these terms
We may update these Terms from time to time. When we make material changes we will revise the "Last updated" date and, where appropriate, notify you in the app or by email before the changes take effect. Continued use of Refind after the effective date constitutes acceptance of the updated Terms.
21. Miscellaneous
These Terms are the entire agreement between you and Refind regarding the service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger or sale of assets.
